Our total liability to you for any direct damages arising out of or related to your use of Cognis Digital services shall not exceed the amount you have paid us, if any, in the twelve months preceding the claim. We encourage you to make use of our platform responsibly and to maintain appropriate backups and safeguards for your own data and systems. These limitations are a fundamental part of the agreement between us, and our pricing reflects the allocation of risk described herein.

Arbitration & Dispute Resolution

Please read this section carefully — it affects your legal rights. Except where prohibited by law, you and Cognis Digital LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Cognis Network website, or the Cognis Weave protocol will be resolved by binding individual arbitration, rather than in court.

Binding individual arbitration. Arbitration will be administered under the rules of a recognized arbitration provider, before a single neutral arbitrator, and will take place on an individual basis. The arbitrator, and not any court or agency, has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement.

Class-action waiver. You and Cognis Digital LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

30-day opt-out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to legal@cognis.network stating your intent to opt out. Opting out will not affect any other provision of these Terms.

Governing law and venue. These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Where arbitration does not apply, exclusive jurisdiction and venue lie in the state and federal courts located in Wyoming.

Severability. If any portion of this Arbitration & Dispute Resolution section is found unenforceable, the remaining portions will remain in full force and effect.
